1. Introduction

Welcome to Nerd Games ("Nerd Games", "we", "our", or "us"). Nerd Games is the game development wing of Nerd Lab Technologies Ltd, a company registered in Nigeria. References to Nerd Games in these Terms include Nerd Lab Technologies Ltd.

These Terms of Service ("Terms") govern your access to and use of all games, mobile applications, websites, online services, and other products operated or published by Nerd Games (collectively, the "Services").

These Terms apply to all current and future Services published by Nerd Games, including Play+Learn and Word Battle, whether played in our mobile applications or on our websites.

By downloading, installing, accessing, or using any of our Services, you agree to be bound by these Terms. If you do not agree to these Terms, you must not use our Services.

2. Eligibility

You must be at least the minimum age required by the laws of your country or region to use our Services.

If you are under the age of majority, you may only use our Services with the permission and supervision of a parent or legal guardian.

You represent that you have the legal capacity to enter into these Terms.

3. Your Account

Some Services may allow you to:

• Play as a guest
• Create an account
• Sign in using supported third-party authentication providers (such as Google or Apple)
• Use other authentication methods that we may support

One Nerd Games account works across all of our games. Your Koins, friends, and profile are shared between them.

Guest progress is stored on your device or browser and may be lost if you uninstall the app or clear your browser data. When you sign in, your guest progress is moved into your account. If you sign in to an existing account that has already played the same game, the guest's progress for that game is not merged.

You are responsible for maintaining the security of your account and for all activities conducted through it.

You agree to provide accurate information and keep your account information up to date.

You may not:

• Impersonate another person
• Share your account with others
• Sell, transfer, or assign your account unless expressly authorized by Nerd Games

4. License to Use the Services

Subject to these Terms, Nerd Games grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use our Services solely for your personal, non-commercial entertainment.

No ownership rights are transferred to you.

5. User Conduct

You agree that you will not:

• Cheat or exploit bugs
• Use bots, scripts, macros, automation, or unauthorized software
• Reverse engineer, decompile, or modify our Services except where prohibited by law
• Interfere with servers or network infrastructure
• Attempt to gain unauthorized access to accounts or systems
• Manipulate matchmaking, rankings, scores, or rewards
• Abuse exploits or technical issues
• Upload malicious software
• Harass, threaten, or abuse other users
• Send unwanted or repeated friend requests or game invitations
• Use offensive, hateful, or misleading display names or profile pictures
• Create multiple accounts to collect rewards or gain an advantage
• Violate applicable laws while using the Services

Violation of these Terms may result in suspension or permanent termination of your account.

6. Game Rules

Each Nerd Games title may include game-specific rules governing gameplay, scoring, matchmaking, virtual currencies, AI systems, answer validation, tournaments, rewards, or other mechanics.

These rules are made available within the applicable game, on our website, or through our support materials.

Game-specific rules form part of these Terms.

Where a conflict exists between these Terms and a game's specific rules, the game-specific rules govern only that game's gameplay mechanics, while these Terms continue to govern all other legal matters.

7. Friends and Multiplayer

Some Services let you add friends using a friend code or invite link, see their activity, and invite them to play.

You choose whether friends can see when you are online and whether they can send you game invitations.

You may remove a friend or block a player at any time. A blocked player cannot send you friend requests or invitations.

We are not responsible for the conduct of other players, but you can report abuse to us and we may act under Section 15.

8. Artificial Intelligence and Automated Systems

Certain Services may use artificial intelligence ("AI"), machine learning, automated moderation, or other automated systems.

These systems may be used to:

• Validate gameplay actions
• Moderate user-generated content
• Detect cheating or abuse
• Match players
• Improve gameplay
• Provide in-game opponents or assistants
• Generate suggestions or responses

AI systems may occasionally produce inaccurate, incomplete, inconsistent, or unexpected results.

Unless otherwise required by law, Nerd Games does not guarantee the accuracy of AI-generated outputs or automated decisions.

Where permitted by law, gameplay outcomes influenced by automated systems are final unless Nerd Games elects to review them.

9. User-Generated Content

Some Services allow users to submit content, including:

• Usernames
• Profile images
• Gameplay responses
• Messages
• Feedback
• Reports
• Suggestions

You retain ownership of your content.

However, by submitting content through our Services, you grant Nerd Games a worldwide, non-exclusive, royalty-free, transferable, sublicensable license to use, reproduce, modify, distribute, display, and operate such content solely for the purpose of providing, maintaining, improving, promoting, and securing our Services.

You represent that you have the necessary rights to submit such content.

10. Virtual Currency and Digital Items

Our Services use a shared virtual currency called Koins, and may also include:

• Virtual items
• Digital rewards
• Unlockable content
• Cosmetic items
• Subscriptions

These items are licensed, not sold.

They:

• Have no real-world monetary value
• Are not legal tender
• Cannot be redeemed for cash
• Cannot be transferred outside our Services unless expressly permitted

Koins can be earned or bought in one Nerd Games game and spent in any of our games.

We may change how many Koins items cost, or how many Koins rewards give, at any time.

Specific rules governing virtual items may vary between games.

11. Purchases

Purchases made in our mobile applications are processed by the Apple App Store or Google Play. Purchases made on our websites are processed by our payment provider, Flutterwave.

Prices are shown before you pay and may include taxes or charges set by the platform or payment provider.

Unless required by applicable law or platform policy:

• Purchases are final
• Digital items are non-refundable
• Virtual currencies are non-transferable

Refunds for app store purchases are handled by Apple or Google under their own policies. For purchases made on our websites, contact us at the email address below and we will review your request.

If you were charged but did not receive your Koins or items, contact us and we will deliver them or refund the payment.

12. Advertisements

Some Services may display advertisements, including rewarded advertisements.

Reward eligibility depends upon successful verification by the advertising provider.

Nerd Games does not guarantee that viewing an advertisement will result in a reward if completion cannot be confirmed or fraud is detected.

13. Intellectual Property

All intellectual property rights relating to our Services, including:

• Software
• Source code
• Databases
• Graphics
• Artwork
• Logos
• Trademarks
• Audio
• Video
• Game mechanics
• Documentation
• Designs

are owned by Nerd Games or its licensors.

Except for the limited license granted under these Terms, no rights are transferred to you.

14. Availability of Services

We may:

• Modify Services
• Suspend Services
• Discontinue Services
• Remove features
• Add new features
• Conduct maintenance
• Restrict access

We do not guarantee uninterrupted availability.

15. Suspension and Termination

We may suspend, restrict, or permanently terminate access to any Service if we reasonably believe you have:

• Violated these Terms
• Violated game-specific rules
• Engaged in fraud
• Used cheats or exploits
• Harmed other players
• Attempted unauthorized access
• Manipulated purchases or rewards

You may stop using our Services and delete your account at any time, as described in our Privacy Policy.

Termination may result in loss of:

• Accounts
• Progress
• Virtual currencies
• Purchases
• Friends
• Rankings
• Achievements

16. Privacy

Your use of our Services is also governed by the Nerd Games Privacy Policy.

By using our Services, you acknowledge that your personal information will be processed in accordance with that Privacy Policy.

17. Third-Party Services

Our Services may integrate with third-party providers including:

• Authentication providers
• Payment providers such as Flutterwave
• Mobile application stores
• Analytics services
• Advertising providers
• Cloud hosting providers

Your use of those third-party services may also be governed by their own terms and privacy policies.

18. Disclaimer of Warranties

To the maximum extent permitted by law, the Services are provided on an "AS IS" and "AS AVAILABLE" basis.

Nerd Games disclaims all warranties, whether express, implied, statutory, or otherwise, including warranties of merchantability, fitness for a particular purpose, availability, security, and non-infringement.

We do not warrant that:

• the Services will always be available
• gameplay will be uninterrupted
• errors will never occur
• the Services will meet your expectations

19. Limitation of Liability

To the fullest extent permitted by applicable law, Nerd Games shall not be liable for any indirect, incidental, consequential, special, exemplary, or punitive damages arising from or related to your use of the Services.

Our total liability for any claim arising under these Terms shall not exceed the amount you paid to Nerd Games for the applicable Service during the twelve (12) months preceding the event giving rise to the claim.

Nothing in these Terms excludes liability that cannot be excluded under applicable law.

20. Indemnification

You agree to defend, indemnify, and hold harmless Nerd Games, its officers, employees, contractors, licensors, and affiliates from any claims, damages, liabilities, losses, costs, or expenses (including reasonable legal fees) arising out of:

• your use of the Services
• your violation of these Terms
• your violation of applicable law
• your infringement of the rights of any third party

21. Changes to the Terms

We may modify these Terms from time to time.

When material changes are made, we will update the "Last Revised" date and may provide additional notice where appropriate.

Your continued use of the Services after the updated Terms become effective constitutes your acceptance of the revised Terms.

22. Governing Law

These Terms shall be governed by and construed in accordance with the laws of Nigeria, without regard to its conflict of law principles.

Any disputes arising from these Terms shall be subject to the exclusive jurisdiction of the competent courts located within that jurisdiction, unless applicable consumer protection laws provide otherwise.

23. Severability

If any provision of these Terms is found to be unlawful, invalid, or unenforceable, the remaining provisions shall remain in full force and effect.

24. Entire Agreement

These Terms, together with the Nerd Games Privacy Policy and any applicable game-specific rules or policies, constitute the entire agreement between you and Nerd Games regarding your use of the Services and supersede any prior agreements relating to the same subject matter.
